Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Martin Graphics Enterprises (“Coricor,” “we,” “us,” or “our”) governing your access to and use of the Coricor website at coricor.com and our software products, including the Gang Sheet Studio gang-sheet application for Shopify (the “Services”). By installing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms. You are responsible for your Shopify account, your store, and all activity that occurs through your use of the Services.

2. The Services

Gang Sheet Studio is a Shopify application that lets merchants offer a gang-sheet builder and pre-made upload flow on their storefront. The app measures and prices artwork, packs designs onto sheets, generates print-ready output, and adds the resulting items to the Shopify cart. Features may change, improve, or be discontinued over time.

3. Fees & billing

Use of the app may be subject to fees billed through Shopify’s billing system. Current pricing — including any usage-based charge, percentage, and per-order cap — is disclosed in the Shopify App Store listing and presented for your approval at install through Shopify’s standard billing-approval flow. By approving those charges in Shopify you authorize them. Fees are billed and collected by Shopify in accordance with Shopify’s terms; except as required by law or expressly stated, fees are non-refundable. We may change pricing prospectively with notice through Shopify’s billing-approval mechanism.

4. Acceptable use

You agree not to, and not to permit your customers to:

• Upload or process content that infringes any copyright, trademark, or other intellectual-property or privacy right, or that you do not have the right to reproduce.
• Upload unlawful, infringing, defamatory, or otherwise objectionable material.
• Attempt to reverse engineer, scrape, overload, disrupt, or gain unauthorized access to the Services or their infrastructure.
• Use the Services to violate any applicable law or Shopify’s own terms and policies.

You are solely responsible for the artwork and content you and your customers upload, and for ensuring you hold all necessary rights to print and sell it.

5. Intellectual property

Our IP

The Services, including the software, design, and the Coricor name and logos, are owned by Martin Graphics Enterprises and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services while these Terms are in effect.

Your content

You and your customers retain ownership of the artwork and content uploaded through the Services. You grant us a limited license to host, process, reproduce, and transform that content solely to operate and deliver the Services (for example, to measure, pack, render, and store print-ready files). We claim no ownership of your artwork.

6. Third-party services

The Services depend on and integrate with third parties, including Shopify and the providers listed in our Privacy Policy. Your use of those services is governed by their terms, and we are not responsible for their acts, omissions, or availability.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that output will meet every print requirement; you are responsible for reviewing print-ready files before production.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORICOR AND MARTIN GRAPHICS ENTERPRISES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR MATERIALS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Martin Graphics Enterprises and its owners and personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your content or your customers’ content, or your breach of these Terms or any law.

10. Termination

You may stop using the Services at any time by uninstalling the app. We may suspend or terminate access if you breach these Terms, if required by law, or if continuing to provide the Services becomes impractical. On termination, the license granted to you ends; sections that by their nature should survive (including IP, disclaimers, limitation of liability, and indemnification) will survive. Data handling on termination is described in our Privacy Policy.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

12. Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Illinois for any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.
